End User License Agreement.

The terms that govern employee use of internal Palladio applications — what we collect, how we protect it, and how we handle it when employment ends.

1. Agreement

This End User License Agreement (the “Agreement”) governs your use of internal applications, mobile apps, and related software (collectively, the “Application”) provided by Palladio Building Services (“Palladio,” “we,” “us,” or “our”) to its employees and authorized personnel (“you” or “User”).

By installing, accessing, or otherwise using the Application, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Application.

2. License Grant

Subject to your continued employment or authorized engagement with Palladio and your compliance with this Agreement, Palladio grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Application solely for the purpose of conducting Palladio's business.

This license terminates automatically when your employment or authorized engagement with Palladio ends, or earlier if you breach this Agreement.

3. Permitted Use

You may use the Application only for legitimate Palladio business purposes, including:

  • Recording and reporting work activity, hours, and project status.
  • Receiving assignments, schedules, and dispatch information.
  • Coordinating with crews, supervisors, and other authorized personnel.
  • Documenting site conditions, safety observations, and project deliverables.

You agree not to:

  • Use the Application for personal, commercial, or non-Palladio purposes.
  • Share your login credentials with any other person.
  • Attempt to reverse-engineer, decompile, or disassemble the Application, or circumvent any of its security features.
  • Upload or transmit any content that is unlawful, harmful, or infringing.
  • Use the Application in any manner that interferes with its operation, the network, or other users.

4. Information We Collect

The Application collects only the information necessary to support Palladio's operations and your work. This may include:

  • Account Information: name, employee identifier, email address, phone number, role, and crew assignment.
  • Location Data: while you are clocked in or actively using the Application during work hours, the Application may collect device location information for the purposes of dispatch, site verification, safety, and time tracking.
  • Work Activity: time entries, job assignments, status updates, photographs, notes, and other records you create through the Application.
  • Device & Technical Information: device type, operating system, application version, and diagnostic data necessary to operate and improve the Application.

5. How We Use Information

We use the information collected through the Application to:

  • Coordinate, dispatch, and supervise field work.
  • Verify time, attendance, and site presence for payroll and client billing.
  • Support safety protocols and emergency response.
  • Maintain accurate records of project activity for our clients and ourselves.
  • Comply with applicable legal, regulatory, and contractual obligations.

6. Data Storage and Location

All data collected through the Application is stored on secure cloud infrastructure located in Canada. We select hosting regions and service providers that maintain Canadian data residency to support compliance with Alberta's Personal Information Protection Act (PIPA) and applicable federal Canadian privacy law.

7. Security

We protect data within the Application using industry-standard physical, technical, and administrative security measures, including:

  • Encryption of data in transit and at rest.
  • Multi-factor authentication (MFA) for all user accounts that access the Application or its underlying systems.
  • Role-based access controls limiting data access to those who require it.
  • Regular security reviews, patching, and monitoring.

You are responsible for keeping your login credentials confidential, enrolling in and maintaining MFA on your account, and notifying Palladio promptly of any suspected compromise of your account or device.

8. Backups

We maintain regular, encrypted backups of Application data to protect against data loss and to support business continuity. Backups are stored within the same Canadian data residency region as primary data and are retained according to our operational retention schedule.

9. Retention and Data Deletion

We retain information collected through the Application for as long as it is necessary to support your active use of the Application, our operational and legal obligations, and applicable retention requirements (including, where relevant, Canada Revenue Agency record-keeping rules).

You may request deletion of personal information held within the Application by contacting our Privacy Officer in writing. We will honour such requests in accordance with applicable law, with the following limitations:

  • Deletion requests will be acted upon once your employment or authorized engagement with Palladio has ended, except where deletion is required earlier by law.
  • Records that we are legally required to retain (for example, payroll, tax, or contractual records) will be kept for the period required and then securely destroyed.
  • Information held in archived, encrypted backups will be deleted in the ordinary course of backup rotation rather than individually purged from each backup set.

10. Termination of Access

When your employment or authorized engagement with Palladio ends, your license to use the Application terminates immediately. We will revoke your access, recover any Palladio-issued devices, and handle your account data in accordance with Section 9.

11. Disclaimer of Warranties

The Application is provided to you on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Palladio disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Palladio will not be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Application. Nothing in this Agreement limits any liability that cannot be limited under applicable law.

13. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be communicated through the Application or by other reasonable means. Continued use of the Application after the effective date of any update constitutes acceptance of the updated Agreement.

14. Governing Law

This Agreement is governed by the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict-of-laws principles.
